CONFIDENTIALITY AGREEMENT and SERVICES CONTRACT

  I.      Confidentiality Agreement:

neveCPAonline™ agrees not to permit unauthorized access to and take all reasonable steps to protect the confidentiality of Customer's financial, billing, and client information provided by Customer including the resultant work product such as monthly billings, billing reports, payment or trust reports, ledgers, past due notices and letters, financial statements, balance sheets, or any specific information relating
to Customer's client base.

Customer agrees to treat as confidential information any and all passwords provided by neveCPAonline™, programming source code created by neveCPAonline™, and honor any federal or state laws regarding copyright and trademark issues.

Neither party shall be required to keep confidential any information or data which is or becomes
publicly available, is already known or is independently developed by such party outside the scope
of this Agreement, or is rightfully obtained by third parties.

II.     Services Contract:

A.            Billing Rate: Client agrees to contract services from neveCPAonline™, calculated
in the following billing manner:

Hourly Rate: Based on $50/hour for time spent, and billed monthly; OR,

Flat Fee Rate: $ ______________________dollars per month.

B.            Finance Charges: Billings are due and payable upon receipt. Finance charges
are calculated on unpaid balances over 30 days, at an interest rate of 18% per annum, with a
minimum charge of $5.00 per month.

C.            Termination of Contract: Termination of this services agreement requires a 30
day notice.

I AGREE TO ALL THE TERMS PRESENTED IN THIS CONFIDENTIALITY
AGREEMENT AND SERVICES  CONTRACT AND BY SIGNING MY NAME, I AGREE THAT neveCPAonline™ CAN AND WILL PERFORM THEIR SERVICES AND DO WHAT IS NECESSARY TO COMPLY WITH THIS AGREEMENT INCLUDING BILLING OR BOOKKEEPING, REPORTING AND DEADLINE COMPLIANCE TO THE BEST OF THEIR ABILITY.
